1. Commercial Authorization & Payment Policy
1.1 Invoicing Currency & Payment Rails
All estimates, invoices, retainers, and production orders are billed exclusively in United States Dollars (USD $) unless explicitly specified in a customized enterprise agreement.
Accepted payment instruments include approved electronic rails, corporate wire transfers, Stripe/card processing, and verified merchant portals linked through the SPinturaArt® ERP.
1.2 Production Authorization Trigger
Creative strategy sessions, vector architecture, code deployment, and embroidery engineering commence strictly upon 100% verified payment confirmation.
Estimates, pro-forma invoices, and informal Message/email requests do not secure production queue priority until the corresponding sales order is paid and authorized.
1.3 Delinquency & Suspension
Invoices outstanding beyond the designated due date are subject to an immediate administrative hold on all active production, staging links, source asset repositories, and machine floor files.
Accounts overdue beyond 14 business days accrue a late administrative finance fee of 1.5% per month (or the maximum allowed by governing commercial statutes).
2. Scope of Work, Technical Deliverables & Schedules
2.1 Defined Deliverables
Studio deliverables are limited strictly to the itemized line items detailed on the finalized and approved Sales Order/Quotation.
Deliverable categories encompass:
Brand Identity & Graphics: Vector Master Suites (AI, EPS, SVG, Press-Ready PDF), high-resolution assets (PNG, JPG), and brand architecture manuals.
Digital & Web Development: Staging links, web prototypes, design systems, and frontend asset directories.
Apparel & Manufacturing Engineering: Industrial embroidery files (DST), native digitizing source files (Wilcom .EMB), thread color-sequence run sheets, and vector tech packs.
2.2 Turnaround Timelines
Estimated project completion schedules (both express and standard) activate only after full payment verification and receipt of all required assets (vector artwork, dimensions, technical parameters, brand guidelines, and machine specifications).
Turnaround commitments represent business operating days (Monday through Friday, excluding public holidays).
2.3 Client Dormancy & Abandonment
Clear communication is required to maintain project velocity. If feedback, critical project inputs, or sign-offs are stalled by the client for more than 10 consecutive business days, the order is designated as Completed / Dormant.
Reactivation of dormant orders requires a studio pipeline re-entry review and may incur a 15% reactivation fee to reschedule engineering hours.
3. Intellectual Property, Commercial Licensing & Rights
3.1 Conditional Ownership Transfer
Full commercial reproduction rights, intellectual property ownership, and production licenses to approved deliverables pass to the client strictly upon receipt of 100% cleared payment.
Until final settlement, all concepts, work-in-progress drafts, custom software code, vector assets, and digitized machine files remain the sole proprietary property of SPinturaArt®.
3.2 Preliminary Iterations & Unselected Concepts
Unselected design drafts, intermediate concepts, exploratory sketches, and alternative vector layouts remain the exclusive property of SPinturaArt®.
Unused concepts may not be adapted, displayed, vectorized, distributed, or forwarded to third-party providers without written commercial licensing from SPinturaArt®.
3.3 Portfolio & Studio Showcase Rights
Unless protected by a formal, bilaterally executed Non-Disclosure Agreement (NDA), SPinturaArt® retains the commercial right to display non-sensitive finalized work, production sew-outs, mockups, and case studies across its portfolio, digital channels, and executive client presentations.
4. Revision Governance & Scope Alterations
4.1 Included Refinements
Standard line items include defined technical refinements (e.g., minor chromatic adjustments, typographic spacing, or stitch pull compensation calibration) submitted within 7 business days of initial file delivery.
Revisions must stay strictly within the original approved project brief.
4.2 Out-of-Scope Modifications
Any fundamental changes—including aesthetic redesigns, dimensional reconstructions, alternate aspect ratios, extra font weights/alphabets, new logo variations, or post-delivery format restructuring—are classified as Scope Expansions.
Scope expansions will be itemized under a separate, formal Supplemental Change Order / Quotation and require settlement prior to execution.
5. Production Proofing & Vendor Limitation of Liability
5.1 Mandatory Client Verification & Pre-Run Inspection
The client retains ultimate operational responsibility for final proofreading, dimensional checking, and substrate verification prior to initiating commercial production.
The client must run a single test sample (test print proof, machine sew-out swatch, or web staging audit) before committing to high-volume manufacturing, physical printing, or apparel production.
5.2 Third-Party & Manufacturing Limitations
SPinturaArt® engineers all deliverables according to modern commercial tolerances. However, the studio has no operational control over physical equipment, factory conditions, substrate quality, machine calibration, operator experience, or external hosting environments.
SPinturaArt® is not liable for ruined garments, fabric puckering, thread breaks, machine downtime, third-party printer errors, or substrate registration shifts caused by external operators or machinery.
5.3 Financial Cap on Liability
Under no circumstances shall SPinturaArt’s total cumulative legal or financial liability exceed the total net fees received by the studio for the specific line item or deliverable in dispute.
6. Digital Asset Non-Refundability & Cancellation Policy
6.1 Digital Assets Non-Refundable
Due to the bespoke, labor-intensive nature of custom engineering, creative architecture, and digital asset generation, all completed payments are non-refundable once project execution has commenced or working files have been delivered.
6.2 Pre-Kickoff Cancellations
Cancellation requests submitted prior to the commencement of creative or technical work are eligible for a refund less an administrative onboarding charge of 20% to cover payment gateway processing and schedule reservation costs.
7. Professional Discretion & Studio Authority
SPinturaArt® functions as an enterprise multidisciplinary partner, upholding stringent production standards. All technical recommendations, file optimizations, and design architectures are executed to maximize client brand equity, product longevity, and operational efficiency.
